What You Can Calculate

This template computes three key outputs from your valuation work:

  • Net Debt - Total debt minus cash, showing the company's true leverage position. A negative value indicates a net cash position.
  • Common Equity Value - The residual value belonging to common shareholders after satisfying all senior claims including debt, preferred stock, and noncontrolling interests.
  • Implied Share Price - Equity value divided by diluted shares outstanding, giving you a per-share valuation for comparison against market prices or offer terms.

Required Inputs

Methodology

The template uses the standard EV-to-equity bridge formula: Equity Value = EV - Debt + Cash - Preferred - NCI. This approach recognizes that debt holders, preferred shareholders, and minority interests have senior claims that must be satisfied before common equity holders receive any value.

Assumptions & Limitations

This is a simplified bridge model appropriate for most analyses. Real-world banker bridges may include additional items such as unfunded pension liabilities, operating lease obligations, and other debt-like items. The template assumes cash is fully unrestricted and groups preferred stock with noncontrolling interest for simplicity.
