Methodology
The template follows standard EBITDA normalization methodology used in M&A transactions:
- Normalized EBITDA = Reported EBITDA + Total Add-backs - Non-Recurring Gains
- Adjustment Percentage = Net Adjustments / Reported EBITDA x 100
The automatic rating system flags adjustment levels: below 10% is typically viewed as modest, 10-25% as material warranting buyer scrutiny, and above 25% as potentially aggressive.
Assumptions and Limitations
- All adjustments must already be embedded in the reported EBITDA starting point
- Standalone normalization only - does not include synergies or pro forma adjustments
- All adjustments are assumed to be pre-tax and same-period basis
