Description

Model startup ownership and equity dilution across multiple funding rounds with this professional Cap Table & Dilution Calculator Excel template. Perfect for founders, early-stage investors, and finance professionals who need to understand how seed rounds, Series A investments, and option pool expansions affect ownership stakes.

What You Can Calculate

This template computes the complete ownership picture from founding through Series A:

  • Founder Combined Ownership โ€” Your final equity stake after all dilution events
  • Total Dilution โ€” Cumulative percentage ownership lost from founding to current state
  • Pre-Money Valuations โ€” Implied company value before each investment round
  • Price Per Share โ€” What each share is worth at Seed and Series A
  • Investor Ownership โ€” Final stakes held by Seed and Series A investors
  • Option Pool Impact โ€” How the pool shuffle affects all stakeholders

Required Inputs

Enter your founding share allocation, option pool percentage, and funding round details:

  • Founder 1 & 2 share counts (typically 4-5 million each)
  • Initial option pool percentage (typically 10-15%)
  • Seed investment amount and post-money valuation
  • Series A investment amount and post-money valuation
  • Option pool increase at Series A (the “pool shuffle”)

Methodology

The template uses standard venture capital math: Investor Ownership = Investment / Post-Money Valuation. New shares are calculated as Pre-Round Shares / (1 – Ownership%) – Pre-Round Shares. The option pool shuffle formula (New Pool = Pre-A Shares x q / (1-q)) correctly models how VCs require pool expansion before their investment, diluting existing shareholders.

Assumptions & Limitations

  • Single share class (common stock mechanics)
  • No anti-dilution provisions or liquidation preferences
  • Pool increase is incremental, not a target percentage
  • Up to 2 founders and 2 funding rounds modeled
