Required Inputs

Methodology
The template follows standard pre-money SAFE conversion mechanics. It calculates the Cap Price as Valuation Cap divided by Implied Pre-Money Shares, and the Discount Price as the Series A Price multiplied by (1 minus the Discount Rate). The Conversion Price is the lower of the two, ensuring the SAFE holder receives the most favorable terms. If neither term provides a benefit, the SAFE converts at the Series A price.

- Models pre-money SAFEs (not post-money Y Combinator standard)
- Single SAFE holder — does not stack multiple SAFEs
- No pro-rata rights, MFN clauses, or interest accrual
- Ownership shown vs. pre-money share base only
